Welcome to MyMenuQR — the QR-based digital menu platform for restaurants and stores. These Terms & Conditions govern the relationship between you and the platform when using any of our services.

Throughout this document, the following terms apply:

• "Platform" / "we": refers to MyMenuQR
• "Merchant": the restaurant or store that created an account to manage a menu or products
• "Customer": the end-user browsing the menu or placing an order
• "Service": everything offered by the platform through my-menu-qr.com

By using the platform — whether by creating an account, browsing a menu, or placing an order — you acknowledge that you:

• Have read, understood, and fully agree to these terms
• Are at least 18 years old, or have parental consent
• Have full legal capacity to be bound by these terms
• Will comply with them and with any applicable local laws

If you do not agree with any part of these terms, please stop using the service immediately.

MyMenuQR is a platform enabling restaurants and stores to create a digital menu accessible via QR code, with tools to manage products, prices, images, colors, sizes, and to receive orders directly.

The service includes:

• A dashboard to manage the menu or store
• A public customer-facing page opened via QR
• A simple ordering system for restaurants or stores
• Customizable discounts, badges, and offers
• Two-factor authentication (2FA) support for accounts
• Basic reporting and analytics tools

We reserve the right to add, modify, or discontinue any feature of the service at any time.

When creating an account on the platform, you agree to:

• Provide accurate, current, and truthful information
• Keep your password confidential and never share it
• Notify us immediately of any unauthorized use of your account
• Enable two-factor authentication (2FA) for important accounts
• Not create multiple accounts to bypass limits or subscriptions

You are responsible for all activities that occur under your account. We may suspend or terminate any account that violates these terms without prior notice.

As a restaurant or store owner, you are solely responsible for:

• Menu accuracy: correctness of item names, prices, descriptions, and ingredients
• Product availability: continuously updating status (available/out-of-stock)
• Order processing: receiving orders from the dashboard and responding promptly
• Product quality: the food, goods, or services you provide to customers
• Tax obligations: any taxes or fees on your sales
• Licensing: holding required commercial and health licenses
• Customer data protection: data received through the platform (name, phone, address)

⚠️ MyMenuQR provides the tools only — the commercial relationship between you and your customers is entirely your responsibility.

Your content remains yours:

The names, descriptions, images, and logos you upload remain your property. We require a limited license to display, store, and process them solely for the purpose of operating the service.

Your representations regarding content:

• You own the content or have the right to use it
• It does not infringe any third party's intellectual property rights
• It does not contain offensive or unlawful material
• It honestly reflects your products or services

Platform ownership:

The code, design, MyMenuQR trademark, logo, and all visual and technical elements of the platform are our exclusive property and may not be copied or used without written permission.

We offer two main plans:

• Basic (free): essential features for managing a simple menu
• Pro (paid): extended features such as orders, analytics, reservations, and advanced options

Subscription mechanism:

• Subscription is monthly or yearly per the selected plan
• Starts from the moment of payment confirmation
• Renews only upon a new payment or an actual renewal action
• Continued account use alone does not constitute renewal if fees are unpaid

Trial period:

• A free trial may be offered at MyMenuQR's discretion or by special agreement with the customer
• Trial duration and conditions vary between plans
• The trial is not a permanent right of the user, and the platform reserves the right to stop or modify it at any time

Refunds:

• As a rule, subscription fees are non-refundable after the subscription period begins
• Sole exception: if the essential service is disrupted for a long period due to MyMenuQR, or a substantial defect attributable to the platform is proven to have directly caused provable commercial loss
• Refund or compensation shall be reasonable and proportional to the damage and affected service, not automatic for any loss claimed by the customer
• Refunds do not cover expected profits or indirect losses

Subscription end:

• Upon non-renewal, Pro features are suspended while the account and essential data are retained for 30 days
• During this period, the customer may renew and restore full service
• We recommend exporting your data during this period, to the extent the platform provides
• After 30 days, MyMenuQR has the right to delete the data, subject to any legal or technical retention obligations

Prices and taxes:

• Prices are published on the platform and may change with prior notice to existing subscribers
• Local taxes (if any) are the subscriber's responsibility

The platform's role:

MyMenuQR is a technical tool that relays orders from the customer to the merchant. We are not a party to the commercial contract between the customer and the merchant, and we do not sell any product or service ourselves.

Furthermore, MyMenuQR does not receive order money nor process order payments — payment is made directly between the customer and the merchant through their agreed method (cash, transfer, on-delivery, ...).

Limits of our responsibility for orders:

• We do not guarantee the merchant will confirm or deliver the order within a specific time
• We do not guarantee product quality or accuracy of description — that is the merchant's responsibility
• Complaints about food or product quality are directed to the merchant
• Disputes between customer and merchant are resolved between them without our intervention

Merchant obligations toward orders:

• Review orders as soon as they are received
• Contact the customer if the product is unavailable or delivery is not possible
• Honor the prices displayed in the menu at the time of order

The platform must not be used for any of the following purposes:

• Publishing unlawful products or content, or content violating public order
• Selling prohibited items (alcohol, drugs, weapons, etc.)
• Displaying false or misleading information with intent to defraud
• Impersonating another person or business
• Publishing offensive, racist, pornographic, or hate-related content
• Attempting to hack or exploit platform vulnerabilities
• Using bots or automated tools to scrape data
• Placing fake orders or abusing the ordering system
• Exceeding fair usage limits of the service
• Reselling the service or its features to third parties without permission

Violating any of these clauses may result in immediate account suspension or deletion without notice, while reserving our right to take legal action when necessary.

How we collect, use, and protect your data is explained in detail in our Privacy Policy.

By using the service, you accept the data collection and processing practices described there. The Privacy Policy is an integral part of these terms.

The service "as is":

We provide the service on an "as is" and "as available" basis, making our best efforts to provide the highest possible level of stability and security, but without express or implied warranties.

We do not guarantee:

• The service will operate without interruption or error at all times
• Complete freedom from security vulnerabilities
• Fitness for specific commercial purposes
• The permanent availability of any particular feature
• Accuracy or completeness of content uploaded by merchants

Situations not considered service breaches:

• Scheduled maintenance or pre-announced updates
• Short incidental technical failures
• Hosting provider or third-party outages beyond our control
• Force majeure (disasters, unrest, general power outages ...)
• External cyberattacks despite our reasonable protective measures

In case of a substantial and prolonged disruption caused by MyMenuQR itself, a subscription extension or partial refund may be considered on a case-by-case basis, in accordance with the refund policy detailed in the Subscription & Payment section.

Limitation of liability:

To the extent permitted by law, MyMenuQR bears no responsibility for:

• Indirect or consequential damages or loss of profits
• Data loss resulting from misuse or events beyond our control
• Commercial disputes between customer and merchant
• The quality or safety of products offered through the platform
• Interruptions caused by external service providers

Financial Liability Cap:

To the extent permitted by law, MyMenuQR's total financial liability for any claim arising from your use of the service shall not exceed the total fees actually paid by you to the platform during the three (3) months preceding the date of the claim.

For Basic (free) plan users who have paid no fees, the platform bears no financial liability except within limits mandatorily imposed by law.

Burden of Proof:

A mere claim of loss by the customer (including lost customers or expected profits) does not automatically entitle them to compensation. For a claim to be valid, the loss must be:

• Caused by a substantial defect in the service attributable directly to MyMenuQR
• Proven by objective, verifiable evidence
• Have a direct causal relationship (not the result of external factors or the customer's own decisions)

Excluded Damages:

Under no circumstances shall the platform be liable for:

• Lost profits, lost business opportunities, or reputational damage
• Indirect, consequential, incidental, or punitive damages
• Data loss resulting from causes beyond our control
• Any damage arising from unauthorized use of your account
• Damages caused by third-party service provider outages

This cap applies regardless of the basis of the claim (contractual, tortious, or otherwise).

Termination by you:

You may terminate your use of the service at any time by deleting your account from the dashboard or contacting us. Upon account deletion, your data is processed as described in our Privacy Policy — Data Retention.

Termination by us:

We may suspend or terminate the service for any user in the following cases:

• Violation of these terms or prohibited uses
• Non-payment of due subscription fees
• Activities harmful to the platform or its users
• A binding judicial or legal order

In cases of suspected fraud or security risks, we may suspend the account immediately without prior notice.

No refund upon suspension due to violation:

Suspension or termination of the account due to user violation of these terms — including non-payment, fraud, prohibited uses, or breach of service conditions — does not create any right to refund of paid subscription fees.

We may modify these terms from time to time to reflect service evolution or legal changes. When making material changes, we will notify you via:

• The email registered in your account
• A clear notice on the dashboard at your next login
• Updating the "Last updated" date at the top of this page

Your continued use of the service after the modifications are published constitutes your acceptance of the modified terms.

This document is published in Arabic and English side-by-side for ease of understanding. In case of any conflict or subtle difference in interpretation between the two versions, the Arabic version shall prevail as the legally binding version, as Arabic is the official language of the intended audience. The English version is provided for reference only.

If any clause of these terms is found invalid or unenforceable by a competent court, this shall not affect the validity and enforceability of the remaining clauses. The other provisions shall remain in full force, and the invalid clause shall be replaced by the nearest valid clause that reflects the parties' original intent.

These terms and conditions are governed by and interpreted under the laws of the Republic of Iraq.

Any dispute or claim arising out of these terms or relating to your use of the service — including disputes concerning their validity, interpretation, or enforcement — shall be subject to the exclusive jurisdiction of the competent courts in Iraq.

By using the service, you consent to this jurisdiction without objection.
